Terms and Conditions for Vendor

These terms and conditions (“Agreement”) govern the use of the Liiper platform (“Platform”) by vendors (“Vendor” or “you”) for the sale of products and/or services to customers (“Customers”). By accessing or using the Platform, you agree to be bound by this Agreement.

Use of the Platform

1. You agree to use the Platform only for the purpose of selling your products and/or services to Customers. 1.2. You must provide accurate and complete information about your products and/or services on the Platform. 1.3. You are responsible for setting the prices of your products and/or services, and for ensuring that they are accurately reflected on the Platform. 1.4. You agree to comply with all applicable laws, regulations, and industry standards in the sale of your products and/or services on the Platform.

Transactions

2. Customers may purchase your products and/or services using the designated payment methods available on the Platform. 2.2. You agree to fulfill all orders made by Customers in a timely and professional manner. 2.3. You are responsible for the accuracy and completeness of all product and/or service descriptions, pricing, and other information provided on the Platform. 2.4. You are responsible for providing customer support and resolving any issues or disputes that may arise in connection with your products and/or services.

Fees and Payment

3. You agree to pay all fees associated with the use of the Platform, including transaction fees and any applicable taxes. 3.2. Liiper will deduct the applicable fees from the payments received from Customers for your products and/or services. 3.3. Liiper may change its fees and payment policies at any time, and will provide you with notice of any such changes.

Intellectual Property

4. You represent and warrant that you own or have the necessary rights to use all intellectual property associated with your products and/or services. 4.2. You grant Liiper a non-exclusive, worldwide, royalty-free license to use, copy, display, and distribute your intellectual property solely in connection with the sale of your products and/or services on the Platform.

Disclaimer of Warranties

5. Liiper makes no warranties or representations of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products included on the Platform. 5.2. Liiper does not guarantee the accuracy, completeness, timeliness, reliability, suitability, or availability of the Platform or any information or materials on the Platform. 5.3. Liiper disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

Limitation of Liability

6. Liiper shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of the Platform or the sale of your products and/or services on the Platform. 6.2. Liiper’s liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to Liiper for the use of the Platform.

Indemnification

7. You agree to indemnify and hold harmless Liiper, its affiliates, officers, directors, agents, and employees, from any claim, demand, or damage, including reasonable attorneys’ fees, arising out of or in connection with your use of the Platform or the sale of your products and/or services on the Platform. 7.1. You agree to cooperate fully with Liiper in the defense of any such claim.

Termination

8. Either party may terminate this agreement at any time, for any reason, by providing written notice to the other party.

8.1. Upon termination, the Vendor’s access to the Platform will be terminated, and any outstanding fees or charges owed to Liiper will become immediately due and payable.

8.2. Termination of this agreement will not release the Vendor from any obligations or liabilities incurred prior to termination.

Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of Portugal.

Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Porto, Portugal.

Entire Agreement

This agreement, together with any other agreements or policies referenced herein or incorporated herein by reference, constitutes the entire agreement between the parties and supersedes all prior or contemporaneous negotiations, discussions, or agreements, whether written or oral, between the parties regarding the subject matter herein.

No amendment, modification, or waiver of any provision of this agreement will be effective unless in writing and signed by both parties.

By using the Platform, the Vendor agrees to be bound by the terms and conditions of this agreement.
